Welcome to Prime Edge Media! By accessing or using our services, you agree to be bound by the following Terms of Service ("Terms"). These Terms govern your access to and use of Prime Edge Media's services, including our website, consulting services, community membership, and production services. If you do not agree to these Terms, please do not use our services.

1. Purpose of the Agreement

These Terms outline the conditions under which Prime Edge Media provides consulting, community membership, video, and photo content services. By using our services, you agree to comply with these Terms.

2. Scope of Deliverables

Consulting Services:

Prime Edge Media offers professional consulting sessions focused on marketing, branding, and content creation strategies. Specific deliverables may vary based on your unique needs and the scope of engagement.

Community Membership:

Membership provides access to exclusive content, resources, training sessions, and events designed to support your growth in video marketing and business development. Benefits and terms are outlined during the registration process.

Custom Projects:

Custom video and photo projects will include professionally produced content tailored to your brand’s goals. The type, format, duration, and distribution of deliverables will be determined based on project requirements and creative direction.

Monthly Subscriptions:

Ongoing monthly content creation and management services include regular video, photo, and marketing materials designed to support your business’s social media and online presence.

3. Production Responsibilities

Client Obligations:

You agree to provide timely communication, access to designated shoot locations, and adhere to agreed-upon schedules to facilitate efficient project execution.

Company Obligations:

Prime Edge Media will oversee all aspects of production, including pre-production, production, and post-production, and will provide necessary equipment, crew, and release forms.

Production Schedule:

All production activities will occur at mutually agreed-upon times, dates, and locations.

4. Payment Terms

Consulting Services:

  • Payment for consulting services is due at the time of booking unless otherwise specified.

  • Cancellations made within 24 hours of the scheduled session are non-refundable.

Community Membership:

  • Membership fees are billed monthly or annually, as selected during registration.

  • Payments are non-refundable unless explicitly stated in promotional terms.

  • Memberships automatically renew unless canceled before the next billing cycle.

Monthly Subscription:

  • An initial payment is due within 24 hours of subscribing and covers the first month of service.

  • Subsequent payments are due upon delivery of each month’s content.

  • Payments are final unless otherwise agreed upon in writing.

Monthly Paid in Full (PIF):

  • Full payment covering multiple months is due within 24 hours of subscribing.

  • Payment terms for subsequent periods follow the subscription schedule outlined above.

Custom Projects:

Payment plans for custom projects include:

  • 100% Upfront: Full payment is due upon confirmation.

  • 50/50 Split: A non-refundable 50% retainer is due upon confirmation, with the balance due 24 hours prior to the shoot.

  • 3-Month Plan: A 33.3% non-refundable retainer is due upon confirmation, with two equal payments due on the shoot day and upon delivery of the first asset.

  • 6-Month Plan: A 35% non-refundable retainer is due upon confirmation, with five equal monthly payments thereafter.

5. Late Fees & Service Suspension

  • Late payments will incur a 5% fee after a 7-day grace period.

  • If payment remains overdue for 30 days, an additional 5% fee will apply, totaling a 10% late fee.

  • Clients will receive formal written notice before any service suspension.

  • Services will be suspended if payment is more than 15 days overdue and will resume only after full payment is received.

  • Late fees and service suspension terms apply to all payment options.

6. Model Releases

All individuals appearing on camera must provide written consent via a model release form. For large-scale productions where individual releases are impractical, implied consent is acceptable. For minors, parental or guardian consent is required.

7. Decision-Making Authority

The individual designated as the "Decision Maker" will have sole authority over all project-related decisions and will be the primary point of contact. No feedback, suggestions, or approvals will be accepted from any other parties to ensure a clear, efficient workflow.

8. Communication Expectations

Consistent communication is essential. A lapse in communication exceeding 30 days will result in project suspension. After 45 days of non-communication, the project may be terminated, with any outstanding payments remaining due.

9. Project Confidence

Content creation is a collaborative effort. Dissatisfaction alone does not constitute grounds for termination, and both parties are expected to actively engage in finding a resolution. The contract may only be terminated by mutual agreement or under the formal termination conditions outlined in these Terms.

10. Professional Guidance

You acknowledge the importance of adhering to Prime Edge Media’s professional recommendations. Failure to utilize the content as intended is not a valid reason for contract termination.

11. Intellectual Property Rights

Ownership of final deliverables transfers to the client only after full payment of all invoices. Until full payment is received, Prime Edge Media retains ownership rights. Prime Edge Media grants a limited, non-transferable license to use the content for business purposes, provided all payments are current. If payment is overdue beyond the 7-day grace period, the license to use, distribute, or display the content is immediately suspended until all outstanding balances are settled. Unauthorized use of content during this period constitutes a breach of these Terms and may result in legal action. Prime Edge Media reserves the right to use the content for marketing purposes.

12. Artistic Discretion

By using our services, you acknowledge familiarity with Prime Edge Media’s work and agree to services being delivered in a similar style unless otherwise specified.

13. Contract Termination

  • These Terms remain in effect until final deliverables are provided and all payments are made.

  • For custom projects, cancellations will incur a fee of 20% of the total project cost if canceled more than 30 days before the shoot. If canceled within 30 days of the shoot, the fee is 35%.

  • For subscriptions and community memberships, a 30-day notice is required for cancellation.

  • If conditions are unmet, the outstanding balance is due immediately upon cancellation.

  • Either party may terminate the services with a 30-day written notice if unresolved issues persist after formal consultation.

14. Revision Policy

  • Up to 5 rounds of revisions will be provided at each stage until client approval.

  • Revisions requested after approval of an edit stage will incur a fee of $150 per revision.

  • The project timeline depends on client responsiveness.

15. Confidentiality

Both parties agree to maintain the confidentiality of proprietary processes, documents, and workflows indefinitely. This obligation survives the termination of services and applies in perpetuity. However, this confidentiality obligation does not apply to information that:

  • Becomes publicly available through no fault of the receiving party;

  • Is rightfully obtained by the receiving party from a third party without restriction;

  • Is independently developed by the receiving party without use of or reference to the disclosing party's confidential information;

  • Is required to be disclosed by law, regulation, or court order, provided that the receiving party gives prompt written notice to the disclosing party to allow the opportunity to seek protective measures.

16. Non-Solicitation Clause

You agree not to solicit, hire, or engage any Prime Edge Media employees or contractors involved in your project for 36 months following the conclusion of services.

17. Liability and Safety Provisions

Both parties agree to indemnify, defend, and hold each other harmless against any claims, damages, liabilities, costs, and expenses arising out of or related to the services provided under these Terms, except in cases of gross negligence or willful misconduct.

Both parties agree to maintain a safe environment during production. The client ensures no unconcealed weapons, illegal drugs, alcohol, or laser lights are present on set unless explicitly agreed to unanimously by the on-set team. Prime Edge Media will ensure the crew follows all safety protocols. Neither party shall be held liable for "acts of God" or uncontrollable events that may impact the production.

18. Force Majeure

Both parties are excused from performance obligations due to events beyond their control, such as natural disasters, war, or civil disturbances. Payments will be paused, and deliverables rescheduled. If the project cannot be resumed within 60 days, services may be terminated without further obligations.

19. Dispute Resolution

Any disputes arising from these Terms will first be subject to mediation in the State of Michigan. If unresolved, disputes will be settled through binding arbitration in Michigan. Each party will bear its own legal costs.

20. Governing Law

These Terms are governed by the laws of the State of Michigan.

21. Severability

If any provision of these Terms is deemed unenforceable, the remaining provisions remain in full effect.

22. Amendments

Prime Edge Media reserves the right to update or modify these Terms at any time. Changes will be effective upon posting on our website. Continued use of our services constitutes acceptance of any modified Terms.
